Management | Fiduciary
The Firm provides its clients customised management / domiciliation services as well as more sophisticated tailor made “substance” solutions in respect to physical/corporate directors, registered office/address, company secretaries, bank signatories and partners to general or limited partnerships. The Firm’s bespoke philosophy, allows it to create a private fiduciary relationship over the legal title to Cypriot shares.
Fiduciary Services are offered through the Firm’s affiliate company, Lexoptimus Consulting Limited, which is fully licensed and regulated pursuant to the Law Regulating Companies Providing Administrative Services and Related Matters, by the Cyprus Bar Association to carry out fiduciary and ancillary services.
Substance
The importance of creating Substance has rapidly increased; tax authorities and financial institutions are quicker to scrutinise structures that are formed to maximise tax gains.
The Firm can assist in safeguarding the integrity of structures by offering tailor made solutions for its clients in consultation with their local advisors, including professionally qualified directors, as well as, arranging real physical presence in Cyprus through the provision of customised “substance” services, including locating, managing and supervising actual physical premises and employees in Cyprus, as well as sophisticated legal advice in adjusting the corporate governance of companies to maximise substance. Substance for Holding Companies (“HCs”)
The Firm assists its clients in maintaining optimal “active” Holding Company status vis-à-vis banking institutions, the OECD Multilateral Instrument and the BEPS Initiative Action 6, through an extensive legal review of the constitutional documents of a HC to ensure optimal corporate governance and, consequently,
heavy substance.
Banking
The Firm retains banking relationships with premium financial institutions and in sought after jurisdictions in Europe and Asia, and may assist its clients in opening and maintaining both personal and corporate bank accounts in these jurisdictions.
